B2B Terms of Service
These terms apply to the public application, developer documentation, Partner API, and read-only portal for the business-only NU Signal Partners service. If they conflict with an individual license or partner agreement, that agreement controls.
1. Eligibility and accounts
You must represent a business or be lawfully authorized to act for it. Application information must be accurate and current, and approval is subject to NewUnivers review and separate contract terms.
2. API keys and security
API keys, application status tokens, approval tokens, and playback URLs are bearer secrets. Do not expose them in public clients, repositories, or logs; apply minimum scopes and allowed IPs and origins. Actions performed with a key are treated as actions of that organization.
3. Sandbox and Production
Sandbox is for integration validation and creates no actual distribution rights, revenue, or payment obligations. Actual financial statements are available only with Production keys. Production playback and distribution require a signed agreement, valid rights scope, an active deal, and separate approval.
4. Content and permitted use
Catalog visibility does not grant usage rights. Territory, term, language, purpose, exclusivity, resale, editing, download, and AI-training permissions are defined by each deal and rights package. Source extraction, token circumvention, unauthorized copying or redistribution, and unauthorized model training are prohibited.
5. Events and end-user data
You must transmit accurate, non-duplicated events and retain settlement evidence. Viewer identifiers must be salted and pseudonymized by the partner; do not transmit raw PII such as email addresses or phone numbers.
6. Fees, settlement, and disputes
Minimum guarantees, revenue shares, flat license fees, API fees, data-license fees, and taxes follow the individual agreement. Settlement disputes must be raised within the stated period and process; changes after finalization are recorded as adjustments.
7. Service changes, suspension, and liability
Access may be limited for security, legal, rights-expiry, or operational reasons. We aim for reasonable availability and advance notice, while service levels, damages, and indemnities are defined by the individual agreement. Documentation examples are not legal license guarantees.
8. Termination and governing terms
We may immediately suspend a key or organization for credential exposure, unauthorized use, nonpayment, or legal or rights infringement. Confidentiality, intellectual property, settlement, audit, and legal retention duties survive as necessary after termination. Governing law and jurisdiction follow the individual agreement.
